Terms of Service

Last updated: September 21, 2026

1. Acceptance of terms

By creating an account or using Tella (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.

2. The Service

Tella lets you create an AI chatbot assistant and embed it on your own website via a script tag. The assistant answers visitor questions using the content and configuration you supply.

We may add, change, or remove features at any time. If a change materially reduces core functionality of a paid plan, we will notify you in advance where practicable.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

You may not share a single account between multiple people or resell access to the Service without our written permission.

4. Acceptable use

You agree not to use the Service to:

  • Generate, store, or distribute content that is unlawful, defamatory, harassing, hateful, or infringes the rights of others.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity in a way intended to deceive end users.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems, including scraping, reverse engineering, or probing for vulnerabilities.
  • Circumvent usage limits, rate limits, or billing controls, or use the Service to build a competing product.

5. Your content

“Your Content” means anything you upload or configure in the Service, including assistant instructions, website content, files, and conversation data collected from your end users.

You retain ownership of Your Content. You grant us a limited, worldwide, non-exclusive license to host, process, and transmit Your Content solely as needed to operate and provide the Service.

You represent and warrant that you have all rights and permissions necessary to use Your Content with the Service, including any consents required from your end users whose data you collect.

6. AI-generated responses

Responses generated by the assistant are produced by machine-learning models and may be inaccurate or incomplete. You are responsible for reviewing the assistant’s behavior on your own website and for any reliance your end users place on its responses.

We do not guarantee that the assistant’s output is accurate, current, or fit for any particular purpose.

7. Plans, billing, and taxes

Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment providers. Plan limits — such as the number of assistants and monthly message caps — are described on the pricing page and are enforced automatically.

If you exceed a plan limit, assistant responses may be paused until the limit resets or you upgrade. We will not silently charge overage without a plan change.

Prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with your purchase.

Subscriptions can be cancelled at any time from your dashboard or by contacting support. Cancellation takes effect at the end of the current billing period; we do not provide pro-rated refunds for partial periods unless required by law.

8. Term and termination

These Terms remain in effect while you have an account. You may stop using the Service and delete your account at any time.

We may suspend or terminate your account if you materially breach these Terms, fail to pay amounts due, or your use of the Service creates legal or security risk for us or others. Where feasible, we will give you notice and a reasonable opportunity to remedy the issue.

Upon termination, your right to use the Service ends immediately. We may delete your data after a reasonable post-termination window, subject to Section 10.

9. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

10. Limitation of liability

To the maximum extent permitted by law, Tella and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from or relating to your use of the Service.

Our total aggregate liability for all claims arising out of or relating to the Service will not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Tella from any third-party claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service in violation of these Terms, or your violation of any law or the rights of a third party.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and update the “Last updated” date. Material changes will be communicated in advance where practicable.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
